SAR-MAR s.r.o., trading as Majestic Engines ("we", "us"), supplies new and factory-remanufactured replacement automotive parts, in particular replacement engines, injectors, cylinder heads and related components, exclusively to business customers.
These Warranty Terms set out the warranty we provide. They also set out the rules that apply to defects, delivery inspection, transport damage and returns. They form part of every contract of sale between us and the buyer.
1. Business customers only
1.1 We sell only to buyers acting in the course of their trade, business or profession ("business customers"). We do not sell to consumers.
1.2 Before we make an offer, the buyer confirms in writing that the purchase is made for its business. It also gives its company name, registered address and VAT identification number, which we may verify in the EU VIES system. We issue invoices to the business customer and deliver to its business address or to a workshop it names.
1.3 If we learn before delivery that the buyer is a consumer, we may cancel the order and refund any payment received. A buyer who has falsely declared that it buys for business purposes cannot rely on consumer protection rules, to the extent permitted by applicable law.
2. Applicable law and relationship to statutory provisions
2.1 Contracts with business customers are governed by the law of the Slovak Republic, in particular Act No. 513/1991 Coll., the Commercial Code. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
2.2 Where these Warranty Terms deviate from the non-mandatory provisions of the Commercial Code, these Warranty Terms prevail (§ 263 of the Commercial Code). Mandatory provisions of law remain unaffected.
2.3 The courts of the Slovak Republic having jurisdiction over our registered office have exclusive jurisdiction over all disputes arising from or in connection with the contract.
2.4 We send these Warranty Terms to the buyer with every offer. The buyer's own terms and conditions do not apply unless we accept them in writing.
3. Commercial warranty
3.1 We warrant that the product identified on our invoice will be free from defects in material and workmanship for 12 months (the warranty period), subject to these Warranty Terms. This warranty is a quality guarantee within the meaning of § 429 of the Commercial Code.
3.2 The warranty period begins on the date of our invoice for the product.
3.3 The warranty covers defects that arise under normal, intended use and that are not excluded under Section 9.
4. Delivery inspection and transport damage
4.1 Delivery and risk. Unless agreed otherwise, we arrange transport of the goods to the delivery address stated in the order. In deviation from § 457 of the Commercial Code, the risk of loss of or damage to the goods passes to the buyer when the shipment is handed over at the delivery address. It may be handed over to the buyer or to any person who accepts it there on the buyer's behalf, for example the buyer's employee or a workshop named by the buyer. If the buyer collects the goods or arranges its own carrier, the risk passes when the goods are handed over to the buyer or to that carrier.
4.2 Dispatch report. Before delivery we send the buyer a dispatch report. It contains photographs of the packed shipment, the product's identification numbers and the numbers of the tamper-evident seals.
4.3 Inspection on delivery. Before signing the carrier's delivery document, the buyer must check the following, in the presence of the driver:
-
the number of packages;
-
the condition of the pallet, packaging and wrapping;
-
the tamper-evident seals and tapes, compared with the dispatch report;
-
any signs of opening, impact, leakage or tampering.
4.4 Damaged or tampered shipments must be refused. The buyer must refuse a shipment if:
-
the packaging is damaged or has been opened;
-
the shipment shows signs of tampering; or
-
a seal is broken, missing or does not match the dispatch report.
In that case the buyer must:
- refuse to accept the shipment and leave it with the carrier;
- ask the driver to record the refusal and the reason for it on the delivery document;
- photograph the shipment and the damage;
- notify us by email within 24 hours.
We then handle the matter with the carrier and arrange redelivery or replacement at our cost.
4.5 If refusal is not possible. Sometimes a shipment cannot be refused, for example because the driver will not wait. The buyer may then accept it only with a written reservation on the carrier's delivery document, made before signing. The reservation must describe the damage specifically, for example "pallet wrapping torn, carton dented on the left side, seal no. 0123 broken". General wording such as "received subject to inspection" is not sufficient. The buyer must also:
-
photograph the shipment before and during unloading;
-
keep all packaging;
-
not open, install or use the product;
-
notify us by email within 24 hours.
4.6 Hidden transport damage. The packaging may be intact while the product was damaged in transit in a way that was not visible on delivery. To catch this, the buyer must unpack and inspect the product within 3 working days of delivery, and before any installation. Any such damage must be notified to us in writing, with photographs, within that period. At our request, the buyer sends the carrier a written reservation that we prepare, so that the 7-day period under Article 30 of the Convention on the Contract for the International Carriage of Goods by Road (CMR) is met. Working days are Monday to Friday, excluding public holidays.
4.7 Consequences of failing to inspect or notify. The rule below applies if the buyer:
-
accepts a shipment without a reservation although damage to the packaging, signs of tampering, or a broken or missing seal were visible on delivery; or
-
fails to notify us within the periods in Sections 4.4 to 4.6.
The shipment is then deemed to have been delivered complete and free from transport damage, as regards any damage or shortage that the required inspection would have revealed. We are not liable for such damage or shortage, and it is not covered by this warranty.
4.8 Sections 4.3 to 4.7 also apply to any person who accepts the delivery on the buyer's behalf. The buyer must instruct that person accordingly.
5. Inspection before installation
5.1 The buyer must inspect the goods as soon as possible after delivery and before any installation (§ 427 of the Commercial Code). Defects that are visible on such an inspection must be notified to us in writing within 3 working days of delivery. This includes a missing part and a product that does not match the order.
5.2 For engines and cylinder heads, the buyer and the installing workshop must, before installation or any technical intervention, compare the supplied product with:
- the product photographs;
- the order confirmation;
- the engine or cylinder head being replaced, including all reasonably visible identifying and configuration features.
Any apparent mismatch or uncertainty must be reported to us before installation, test-fitting, connection, filling, disassembly, modification or other technical handling.
5.3 This warranty does not cover damage, contamination or other loss resulting from:
- installing, test-fitting or otherwise processing a product despite an apparent mismatch; or
- doing so without the inspection required by this Section.
6. Warranty registration documents
6.1 As a condition of this warranty, the buyer must provide us with the following documents within 5 working days after installation or first intended operational use:
-
proof of purchase;
-
proof of the installation date or the date of first intended operational use;
-
vehicle identification details;
-
the relevant engine code, OEM number or product reference number;
-
clear proof of the vehicle's odometer reading at the time of installation, where relevant for the product;
-
where installation was carried out by a workshop, the workshop invoice, installation report or equivalent service record.
6.2 We use this documentation to verify the installation date, mileage, normal use and compliance with these Warranty Terms. It does not change the start of the warranty period under Section 3.2.
6.3 If the documents are not provided within this period, the warranty for the product is lost.
7. Conditions of warranty validity
7.1 This warranty applies only if:
-
the product was correctly identified and verified for compatibility before ordering;
-
the product was inspected before installation, fitting, coding, calibration, testing or use;
-
the product was installed, fitted, coded, calibrated, configured and used correctly and professionally;
-
the product was used only for its intended purpose;
-
all manufacturer-recommended procedures, service intervals, fluids, filters, ancillary components and installation requirements were followed;
-
all related systems and components reasonably necessary for correct installation and operation were in suitable condition and, where required, replaced or serviced;
-
the product has not been modified, abused, overheated, run without proper lubrication or cooling, contaminated, incorrectly coded, incorrectly calibrated or otherwise improperly handled.
7.2 We may require maintenance records, diagnostic reports, workshop notes, photographs, serial numbers and other reasonable supporting evidence to assess a claim.
8. Product-specific conditions
8.1 Engines
For engines, this warranty applies only if, in addition to the general conditions above:
- the engine was installed correctly and professionally;
- correct oil, coolant, fuel, filters and related consumables were used;
- all supporting systems relevant to engine operation were in suitable condition;
- the engine was not overheated, run without proper lubrication, contaminated, improperly tuned or otherwise misused;
- no unauthorised disassembly, repair or modification took place.
Where installation instructions exist for the supplied engine, the requirements in Section 8.1.1 also apply.
8.1.1 Mandatory installation and first-start requirements
Full compliance with the installation instructions supplied or identified by us is an express condition of this warranty. This includes all mandatory installation, pre-lubrication, first-start, running-in and servicing requirements.
The buyer and the installing workshop must comply with every requirement identified as mandatory in those instructions. They must also keep and provide the evidence of compliance the instructions require, including video documentation, workshop records, service records or other specified evidence where applicable.
Failure to comply with any mandatory requirement, or to provide the evidence the instructions expressly require, results in the loss of this warranty for the affected engine.
This warranty does not cover damage or failure caused by any of the following:
- incorrect installation, preparation or first start;
- unsuitable or defective ancillary components;
- incorrect operation or inadequate maintenance;
- failure to perform required servicing;
- failure to follow the applicable instructions.
Where the instructions expressly require evidence of a procedure, including complete video documentation of installation or first start, or service and workshop records for later servicing obligations, we are not required to accept an unsupported assertion that the procedure was carried out.
8.2 Injectors
For injectors, this warranty applies only if, in addition to the general conditions above:
- the injector was correctly matched to the relevant engine and vehicle;
- the injector was installed cleanly and professionally;
- the fuel system was in suitable condition;
- the injector was not exposed to contaminated fuel, debris, workshop contamination or improper testing conditions;
- the injector was not incorrectly coded, calibrated or programmed, or electronically mismatched;
- protective caps, calibration markings, identification labels and traceability elements were not removed before an accepted inspection, unless removal was necessary for proper installation.
8.3 Cylinder heads
For cylinder heads, this warranty applies only if, in addition to the general conditions above:
- the cylinder head was correctly matched to the relevant engine and vehicle;
- the cylinder head was installed professionally and in accordance with correct technical procedures;
- the cooling and lubrication systems were in suitable condition;
- the cylinder head was not pressure-damaged, overheated, warped, improperly machined, skimmed, ported, welded, modified or otherwise improperly processed after delivery;
- the cylinder head was not contaminated by oil sludge, coolant contamination, sealants, debris or other improper operating conditions.
9. Exclusions
This warranty does not cover:
- incorrect selection of the product by the buyer, workshop or installer;
- incompatibility where the supplied product matches the engine code, OEM number, product reference and specification confirmed in the order;
- improper installation, fitting, coding, calibration, programming, testing or attempted installation;
- failure to replace, service or correctly connect ancillary components or related systems where reasonably necessary for proper installation or operation;
- use of incorrect, poor-quality or contaminated oil, coolant, fuel, filters, sealants or other consumables;
- overheating, seizure, detonation, lubrication failure, contamination, neglect, misuse, accident, abnormal use or improper storage;
- unauthorised repair, dismantling, modification, tuning, welding, machining, skimming, porting, recalibration, reprogramming or alteration;
- racing, competition, commercial overload or use outside normal intended operation;
- normal wear and tear;
- transport damage or shortages for which we are not liable under Section 4;
- external accessories, sensors, belts, hoses, wiring, electronics, gaskets, pumps, turbochargers, injectors or ancillary parts, unless expressly included in writing;
- costs of removal, installation, diagnosis, downtime, towing, transport or a substitute vehicle, loss of profit, loss of business, or any other indirect or consequential loss.
10. Notification of defects and claim procedure
10.1 Defects that become apparent during the warranty period must be notified to us in writing without undue delay. The notice must reach us within 5 working days after the buyer discovered the defect or, with professional care, should have discovered it, and in any event before the warranty period ends.
10.2 Notification must be made before any further use, dismantling, repair, modification, recoding, recalibration, machining or other intervention, except where intervention is necessary to prevent immediate further damage.
10.3 A claim must include:
-
proof of purchase;
-
the documents listed in Section 6;
-
a description of the defect;
-
photographs or video of the product and the affected parts;
-
a diagnostic report or workshop findings, if available;
-
any other information we reasonably request.
10.4 No repair, dismantling, third-party work, coding, recalibration, machining or other intervention may be carried out under this warranty without our prior written approval, except where necessary to prevent immediate further damage.
10.5 If a defect is not notified within the periods in Sections 5.1 and 10.1, the buyer loses the rights arising from that defect.
11. Remedies
11.1 If a warranty claim is justified, we will, at our option, do one of the following:
- repair the product;
- replace it;
- supply equivalent replacement parts.
If repair or replacement is impossible, fails or would involve disproportionate costs, we will instead grant a reasonable price reduction or refund the price paid for the product or the defective part, in whole or in part.
11.2 The remedies in this Section are the buyer's sole remedies for defects of the product. They replace the rights from defects under §§ 436 to 441 of the Commercial Code, to the extent permitted by law.
11.3 Replaced products and parts become our property and must be returned to us at our request.
11.4 To the extent permitted by law, a repair or replacement does not extend or restart the warranty period.
11.5 We bear no costs other than the remedy itself. Our obligations under this warranty are limited to the remedy chosen under Section 11.1: repair of the product, supply of a replacement product or replacement parts, a price reduction or a refund. All other costs arising after the contract is concluded, in connection with the product or with any warranty claim, are borne by the buyer, whether or not we accept the claim. These include in particular:
-
removing the product from the vehicle and installing the repaired product or the replacement, including workshop labour, diagnosis, fluids, consumables, gaskets, ancillary parts, coding and calibration;
-
draining, cleaning and packaging the product for transport;
-
transporting the product to us, and transporting the repaired product or the replacement to the buyer, including insurance, customs duties and taxes;
-
towing, storage, downtime, a substitute vehicle, travel, and any charges of workshops or other third parties;
-
loss of profit, loss of business and any other indirect or consequential loss.
11.6 Place of performance. Warranty remedies are performed at our premises in Bratislava, Slovakia. The buyer delivers the product there. It collects the repaired product or the replacement there, or has it shipped at its own cost. The buyer bears the risk of loss of or damage to the product during both transports.
11.7 Exceptions. In two cases we bear the costs of transporting our product to and from the buyer:
-
we delivered a product that does not match our order confirmation (Section 5.1); or
-
a shipment was refused under Section 4.4.
We bear no other costs in these cases either. Claims for damages are governed exclusively by Section 13.
12. Inspection and return for assessment
12.1 Before deciding on a claim, we may inspect the product, require its return or appoint a third party to examine it.
12.2 The buyer must preserve the product and all relevant parts in the condition in which the issue was discovered, so that an inspection can be carried out.
12.3 If the claim is not covered by these Warranty Terms, we reject it. The buyer then pays the reasonable costs of inspection, handling, storage and transport.
13. Liability for damages
13.1 Our liability for damages is governed by § 373 and the following sections of the Commercial Code.
13.2 Within the meaning of § 379 of the Commercial Code, the parties agree on a limit to the damage we could foresee at the conclusion of the contract as a possible consequence of a breach of our obligations relating to the product. That foreseeable damage does not exceed the purchase price of the product concerned.
13.3 Nothing in these Warranty Terms excludes or limits liability where such an exclusion or limitation is not permitted by law, in particular under § 386(1) of the Commercial Code.
14. No right of withdrawal; returns other than warranty claims
14.1 Business customers have no statutory right of withdrawal. An order confirmed by us is binding.
14.2 We take products back for reasons other than a warranty claim only with our prior written consent. The product must be unused, complete and in its original packaging. It must not have been installed, test-fitted, connected, filled with any fluid, started, opened, dismantled, modified or otherwise handled beyond a visual inspection.
14.3 For an agreed return, the buyer pays for transport in both directions and a restocking fee of 20 % of the price. We refund after we have received and inspected the product.
15. Final provisions
15.1 These Warranty Terms are available in English, French, Spanish and Italian. In case of discrepancies, the English version prevails.
15.2 If any provision is invalid or unenforceable, the remaining provisions remain in force. The invalid provision is replaced by a valid provision that comes closest to its economic purpose.
